These Terms of Service ("Terms") govern your access to and use of the platform, products, and services ("Service") operated by Clever AI Labs LLC, doing business as Fazpi AI ("Fazpi AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Account registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
3. Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk communications (spam) or engage in any form of harassment.
- Make automated calls without prior express consent of the recipient, in violation of the Telephone Consumer Protection Act (TCPA) or equivalent local laws.
- Engage in fraud, impersonation, or deceptive practices.
- Violate any applicable law or regulation, including GDPR, CCPA/CPRA, HIPAA, TCPA, CAN-SPAM, or equivalent.
- Interfere with or disrupt the Service or its infrastructure.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
4. Service availability
We use commercially reasonable efforts to maintain Service availability. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when feasible. The Service is provided on an "as is" and "as available" basis.
5. Billing and payment
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law. If usage exceeds included credits, overage charges apply and are billed to the payment method on file. We reserve the right to change pricing with 30 days' notice.
6. 14-day money-back guarantee
New paid subscriptions are eligible for a full refund if cancelled within 14 calendar days of the initial charge, provided usage has not exceeded reasonable limits. Contact [email protected] to request a refund.
7. Intellectual property
Fazpi AI retains all rights, title, and interest in the Service, including all software, algorithms, models, trademarks, and documentation. You retain ownership of the data you input into the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.
8. Customer data
You are solely responsible for the legality, accuracy, and completeness of Customer Data. We will not access, use, or disclose Customer Data except as necessary to provide the Service, comply with law, or enforce these Terms.
9. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. This obligation survives termination for three (3) years.
10. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FAZPI AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FAZPI AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless Fazpi AI and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
13. Termination
Either party may terminate these Terms at any time. You may cancel your account through the dashboard or by emailing [email protected]. We may suspend or terminate your access if you breach these Terms, with notice when practicable. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including limitation of liability, indemnification, and dispute resolution) will survive.
14. Dispute resolution and arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Sheridan, Wyoming, USA (or remotely at either party's election). Judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found unenforceable, the entirety of this arbitration provision shall be null and void.
15. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. For matters not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in Sheridan County, Wyoming.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Miscellaneous
These Terms constitute the entire agreement between you and Fazpi AI regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision shall not be a waiver of that right. You may not assign these Terms without our prior written consent.
